    Terms of Use

    Welcome to BeeAPro!

    Our mission is to help you teach and learn differently ("Teach Different, Learn Different").

    These Terms of Use ("Terms") constitute a legally binding contract between you and BeeAPro S.r.l. ("BeeAPro", "we", "us") and govern your access to and use of the BeeAPro platform, our websites, mobile applications, and all related services (collectively, the "Services").

    By using our Services, you represent that you have read, understood, and agree to be bound by these Terms, including our Privacy Policy. If you do not agree to these Terms, you may not use our Services.

    1. Key Definitions

    Platform:
    BeeAPro's technological infrastructure, including the website, apps, and tools such as the Trainer Studio.
    User:
    Anyone who creates an account on BeeAPro.
    Trainee (or Student):
    A User who registers to access Educational Content.
    Trainer (or Instructor):
    A User who creates and publishes Educational Content on the Platform.
    Educational Content:
    Courses, lessons, videos, documents, quizzes, learning paths (bundles), and any other instructional materials.
    Trainer Content:
    Educational Content submitted to the Platform by a Trainer, including uploaded sources (slides, documents, URLs) and content generated through BeeAPro's AI tools.
    BeeAPro Content:
    All content on the Platform excluding Trainer Content (e.g., the website, APIs, logo, and courses created by us).

    2. User Accounts

    To use most of our Services, you must create an account.

    Account Types: You may register as a "Trainee" or a "Trainer." Companies may create "Teams" or "Enterprise" accounts to manage their employees.

    Trainer Approval: Trainer accounts are subject to an approval process to ensure the quality of our community. We reserve the right to refuse registration or revoke Trainer status at our sole discretion.

    Account Responsibility: You are solely responsible for all activity associated with your account and the security of your credentials. You must notify us immediately of any unauthorized use. We cannot intervene in disputes between Users.

    Minimum Age: You must have reached the age of consent for online services in your country (e.g., 16 years in Italy) to create an account.

    3. Content Rights and Intellectual Property

    Ownership of Trainer Content

    You Retain Ownership: Any Educational Content you publish remains your exclusive intellectual property.

    License to BeeAPro: By publishing your content, you grant BeeAPro a worldwide, non-exclusive, sub-licensable, and transferable license to use, host, store, distribute, reproduce, modify (e.g., for formatting or accessibility purposes), promote, publicly display, and sell your Educational Content through any media or distribution channel. This license allows us to offer your courses to Trainees and promote the Platform.

    Marketing Use: This license includes the right for BeeAPro to use your content (or excerpts thereof) for marketing and promotional purposes.

    Termination of License: For new users, this license terminates when you remove your content. However, rights granted to Trainees who enrolled in your course prior to its removal will remain valid.

    BeeAPro Platform Ownership

    We own the Platform and Services, which are protected by copyright, trademark, and other laws. You may not use them without our express consent.

    4. Trainer Obligations and Responsibilities

    As a Trainer, you represent and warrant that:

    • You own or have the necessary licenses, rights, and permissions for all materials uploaded to the Platform and to grant BeeAPro the license described in these Terms.
    • Your content does not infringe upon the intellectual property rights of any third party.
    • You provide accurate information in your profile and courses.
    • You respond promptly to Trainee inquiries and maintain high quality standards.
    • You will not publish courses on prohibited or inappropriate topics.

    Trainers may not establish a direct contractual relationship with Trainees.

    5. Payments, Credits, and Refunds

    For Trainees

    Pricing: Prices are determined by Trainers or BeeAPro (for subscriptions). You agree not to use invalid or unauthorized payment methods.

    Refunds: We offer a 14-day refund policy for individual course or bundle purchases, provided a significant portion of the content has not been consumed. We reserve the right to refuse refunds in cases of suspected policy abuse.

    For Trainers

    Revenue Sharing: The revenue split model is defined in our "Partner Program." BeeAPro will pay due amounts within 30 days from the end of the relevant month.

    Tax Responsibilities: Trainers are solely responsible for paying all taxes on their earnings.

    6. Code of Conduct and Prohibited Actions

    You agree not to:

    • Post or share illegal, offensive, defamatory, pornographic, hate speech, or content that violates third-party intellectual property rights.
    • Access or use the Platform for illegal or unauthorized purposes.
    • Access, tamper with, or use non-public areas of the Platform, our computer systems, or our providers' systems.
    • Disable, interfere with, or attempt to circumvent any security features of the Platform.
    • Engage in scraping, spidering, use of robots, or other automated means to access the Services.
    • Impersonate others or provide false information.

    We reserve the right to suspend or terminate the account of any User who violates these rules, without notice and at our sole discretion.

    7. BeeAPro's Rights

    We reserve the right to:

    • Remove or modify any content at any time for any reason, including violations of these Terms or our quality policies.
    • Refuse the publication of courses that do not meet our standards.
    • Offer your content to corporate (B2B) clients under the terms of the Partner Program.
    • Use data (in aggregate and anonymous form) to improve our Services and for research purposes.

    8. Limitation of Liability and Warranties

    Disclaimer: The Services are provided "as is" and "as available," without warranties of any kind. We do not guarantee that the use of the Services will be uninterrupted, secure, or error-free. Any content is obtained at your own risk and discretion.

    No Quality Guarantee: We do not warrant the quality, accuracy, completeness, or reliability of Educational Content published by Trainers.

    Limitation of Liability: To the maximum extent permitted by law, BeeAPro shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from (i) your access to or use of (or inability to access or use) the Services; (ii) any content obtained from the Services. Our total aggregate liability for any claim related to the Services is limited to the total amount you have paid us in the last 12 months.

    9. Indemnification

    You agree to indemnify, defend, and hold harmless BeeAPro and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with (i) your access to or use of the Services, (ii) your Trainer Content, or (iii) your violation of these Terms.

    10. Dispute Resolution and Governing Law

    Governing Law: These Terms are governed by the laws of the Republic of Italy, without regard to its conflict of law principles.

    Amicable Resolution: Before taking legal action, you agree to contact our support team to attempt to resolve the dispute informally.

    Jurisdiction: Any legal action or proceeding arising from these Terms shall be brought exclusively before the competent court of Rimini, Italy.

    11. General Terms

    Updating Terms: We may update these Terms from time to time. In the event of material changes, we will notify you via a notice on the Platform or via email. Continued use of the Services after such changes constitutes acceptance of the new Terms.

    Severability: If any part of these Terms is held to be invalid or unenforceable, that part will be construed to reflect the parties' original intent, and the remaining portions will remain in full force and effect.

    No Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision.
